Company: Shimoda Prime Products LLC, doing business as Sunsei Sunscreen (“Sunsei,” “we,” “our,” or “us”)
These Terms and Conditions (“Terms”) govern your access to and use of the Sunsei website, Shopify store, TikTok Shop, and any other platform through which Sunsei offers products or services (collectively, the “Service”), including any purchase you make through the Service.
By visiting, browsing, or purchasing through the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old, or have the permission of a parent or legal guardian, to make a purchase through the Service. By placing an order, you represent that you meet this requirement.
2. Accounts
If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use of your account.
3. Products, Pricing, and Availability
We work to ensure that product descriptions, images, and pricing are accurate, but we do not guarantee that they are error-free, complete, or current. We may correct errors, change or update information, and cancel orders affected by pricing or availability errors at any time, even after an order confirmation has been sent, without further obligation to you.
Prices are listed in U.S. dollars unless otherwise stated. Applicable taxes and shipping charges are added at checkout. We reserve the right to limit order quantities and to refuse or cancel any order, including orders we suspect are fraudulent.
4. Shipping and Returns
Shipping timelines are estimates only and are not guaranteed. Risk of loss passes to you upon delivery of the product to the shipping carrier. Returns and exchanges are governed by our Return & Refund Policy.
5. Product Use and Safety
Use Sunsei products according to the directions on the product label. Sunscreen should be used as part of a complete sun protection routine, which may also include seeking shade and wearing protective clothing. If you have sensitive skin or known allergies, review the full ingredient list before use and consider performing a patch test.
PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT AS REQUIRED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6. Accuracy of Content
Content on the Service, including product claims, blog content, and educational material, is provided for general informational purposes and should not be treated as medical advice. Consult a dermatologist or physician with questions about your specific skin or health needs. We may update or remove content at any time without notice.
7. Intellectual Property
All trademarks, logos, product names, packaging designs, text, graphics, and other content on the Service are owned by Shimoda Prime Products LLC or its licensors and are protected by applicable intellectual property laws.
You may view and download Service content for personal, non-commercial use only. You may not copy, modify, reproduce, distribute, publicly display, or create derivative works from Service content for any commercial purpose without our prior written consent.
8. User Content
If you submit a product review, photo, comment, or other content to us (“User Content”), you grant Sunsei a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, adapt, publish, and display that User Content in connection with our marketing and business operations, without compensation or further notice to you.
You represent that you own or have the necessary rights to the User Content you submit, and that it does not violate any third party’s rights or applicable law.
We may, but are not obligated to, monitor or remove User Content that we determine, in our discretion, to be unlawful, offensive, or otherwise in violation of these Terms.
9. Prohibited Uses
You agree not to use the Service to:
- Violate any applicable law or regulation;
- Transmit spam, chain letters, or unauthorized advertising;
- Impersonate Sunsei, a Sunsei employee, or any other person or entity;
- Interfere with or disrupt the Service, including through malicious code, scraping, or automated access not authorized by us;
- Attempt to gain unauthorized access to any part of the Service or its related systems.
10. Geographic Restrictions
Sunsei is based in the United States, and the Service is intended for use by persons located in the United States. We make no representation that our products or the Service are appropriate or available for purchase or use outside the United States, and we do not guarantee that we can fulfill or ship orders to any particular country.
We reserve the right to limit, restrict, or decline orders based on shipping destination at our discretion.
If you place an order from outside the United States, you are solely responsible for ensuring that the purchase, import, and use of the products complies with the laws of your country, including any customs duties, import taxes, product registration, or labeling requirements. Delivery times and customs clearance for any order shipped outside the United States are not guaranteed.
11. Disclaimers and Limitation of Liability
YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL PRODUCTS ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
SUNSEI DISCLAIMS ALL LIABILITY FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE OR OUR PRODUCTS.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.
NOTHING IN THIS SECTION LIMITS LIABILITY FOR PERSONAL INJURY CAUSED BY OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR WHERE SUCH LIMITATION IS PROHIBITED BY LAW.
If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210, as provided under Cal. Civ. Code § 1789.3.
12. Indemnification
You agree to indemnify and hold Sunsei, its officers, employees, and agents harmless from any claims, losses, or damages, including reasonable attorneys’ fees, arising from your violation of these Terms, misuse of the Service, or violation of any law or third-party right.
13. Dispute Resolution and Arbitration
Before filing a claim, you agree to contact us and attempt to resolve the dispute informally by writing to info@sunseisunscreen.com.
If we cannot resolve the dispute informally within 60 days, any dispute arising out of or relating to these Terms or your purchase will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
You and Sunsei each waive the right to a jury trial and to participate in a class action or class arbitration. This section does not apply to small claims court actions or to claims for injunctive relief regarding intellectual property.
14. Governing Law and Venue
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles. Subject to the arbitration provision above, any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Washtenaw County, Michigan.
15. Electronic Communications
You consent to receive communications from us electronically, including notices, disclosures, and agreements. You agree that all such electronic communications satisfy any legal requirement that such communications be in writing.
16. General
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of that provision.
These Terms, along with our Privacy Policy and any posted policies referenced herein, including our Return & Refund Policy and any SMS Terms, constitute the entire agreement between you and Sunsei regarding the Service.
We may modify these Terms at any time by posting an updated version. Continued use of the Service after changes take effect constitutes acceptance.
